Terms & Conditions
These General Terms and Conditions apply to all actions of Peter van der Steege (Holding). “Peter van der Steege” is a trade name of Peter van der Steege (Holding).
1 – Definitions
In these Terms and Conditions, the following definitions apply:
- General Terms and Conditions
- These General Terms and Conditions, regardless of the form in which they are made known.
- Design Studio
- Peter van der Steege (Holding), located at Noorderhaven 46, Groningen, registered with the Chamber of Commerce under no. 55563023, that has accepted the assignment or issued a preceding quote or offer.
- Client
- The natural or legal person that has entered into an Agreement with Peter van der Steege (Holding).
- Service(s)
- All work that is the subject of the Agreement or any other legal act in the relationship between Peter van der Steege (Holding) and the Client.
- Agreement
- The agreement between the Client and Peter van der Steege (Holding) under which Peter van der Steege (Holding) provides Services to the Client, regardless of how it was established.
- Intellectual Property Rights
- All intellectual property rights and related rights, including copyright, trademark rights, patent rights, design rights, trade name rights, database rights and neighbouring rights.
- Supplier
- Production companies and other intermediaries whose purpose is to reproduce and/or publish the design created by Peter van der Steege (Holding) under the Agreement.
2 – Quote and Agreement
2.1 General
These terms apply to all quotes, Agreements and resulting deliveries and services of any kind between Peter van der Steege (Holding) and the Client. Deviations are only binding if agreed in writing between the parties.
2.2 Quotes and Agreements
All quotes from Peter van der Steege (Holding) are non-binding and may only be accepted without modifications. All stated prices are in euros, excluding VAT and other government levies.
2.3 Confirmation of quote
Quotes must be confirmed and/or signed by the Client before work commences. Verbal agreements are only binding once confirmed in writing by Peter van der Steege (Holding).
3 – Performance of the Agreement
3.1 Provision of information
Peter van der Steege (Holding) will perform the Agreement to the best of its ability and in accordance with professional standards. The Client is obliged to do all that is reasonably necessary to enable timely and correct delivery.
3.2 Use of suppliers and third parties
Peter van der Steege (Holding) is entitled to have certain work carried out by third parties.
3.3 Publication and reproduction
Before publication or reproduction, both parties shall have the opportunity to review and approve the final proof or prototype of the design.
3.4 Delivery deadline
Agreed deadlines are never final deadlines. In the event of a delay, the Client must notify Peter van der Steege (Holding) in writing and allow a reasonable period to fulfil the agreement.
3.5 Phase approvals
Project phases outlined in our project description build on each other. Requests to reopen and amend a previously approved phase require a change order with adjustments to both budget and timeline.
3.6 Use of AI tools
In carrying out the assignment I use AI tools as sparring and production aids. Final editing and creative responsibility always rest with me. I remain fully responsible for the delivered result.
4 – Intellectual Property Rights
4.1 Intellectual Property Rights
Intellectual Property Rights in all Services made available by Peter van der Steege (Holding) remain vested in the Design Studio or in the third party from whom Peter van der Steege (Holding) obtained the right to make those Services available.
4.2 Credit
Peter van der Steege (Holding) is at all times entitled to sign the design and/or have its name included in publications. Without prior consent, the Client may not publish or reproduce the work without credit to Peter van der Steege (Holding).
5 – Use and licence
5.1 Use
When the Client has fully met its obligations under the Agreement, it obtains the exclusive right to use the design in accordance with the purpose agreed upon in the assignment.
5.2 Modifications
The Client is not permitted to make or have made any changes to the designs without the written consent of Peter van der Steege (Holding).
5.3 Self-promotion
Unless otherwise agreed, Peter van der Steege (Holding) is free to use the design and/or concept for its own publicity or promotion.
6 – Fee
6.1 Fee and additional costs
In addition to the agreed fee, costs incurred by Peter van der Steege (Holding) for the performance of the assignment that do not fall under normal overhead costs shall also be reimbursed.
6.2 Fee for amended assignment
If Peter van der Steege (Holding) is required to carry out additional work due to an amended or incorrect assignment or briefing, such work shall be charged separately.
7 – Payment terms
7.1 Payment obligation
Unless otherwise agreed, the Client must pay within 14 days of the invoice date. If payment is not received within this period, the Client shall owe interest equal to the statutory rate plus at least 2%. Out-of-court collection costs are set at a minimum of 15% of the invoice amount with a minimum of €500 excluding VAT.
7.2 Periodic payments
Peter van der Steege (Holding) is entitled to invoice work performed up to a given point during an assignment on a reasonable basis.
7.3 Suspension
If the Client fails to meet its payment obligations, all rights transferred to the Client under the Agreement shall be suspended until those obligations are fulfilled.
8 – Cancellation and termination
8.1 Cancellation
If the Client cancels an assignment, it shall pay the full fee that would have been due on full completion, plus all costs incurred up to that point.
8.2 Ongoing agreements
Ongoing agreements are valid for an indefinite period unless otherwise agreed in writing and may only be terminated by written notice with a notice period of at least three months.
8.3 Termination
Peter van der Steege (Holding) has the right to lay down an assignment due to circumstances beyond its control, without any obligation to pay compensation.
9 – Liability
9.1 Liability
The liability of Peter van der Steege (Holding) for damages is always limited to the amount of the fee owed. Peter van der Steege (Holding) is never liable for indirect damage, including consequential damage, lost profit or lost savings.
9.2 Warranty of supplied materials
The Client indemnifies Peter van der Steege (Holding) against claims regarding copyright in materials supplied by the Client that belong to third parties.
9.3 Delivery and retention of title
All deliveries are subject to retention of title until the Client has fulfilled all obligations under the Agreement, including interest and costs.
10 – Indemnification
10.1 Indemnification against third-party claims
The Client indemnifies Peter van der Steege (Holding) against any claims from third parties who suffer damage in connection with the performance of the Agreement where the cause is attributable to parties other than Peter van der Steege (Holding).
11 – Warranties
11.1 Use in the Netherlands
Deliverables from Peter van der Steege (Holding) comply with the usual requirements and standards applicable at the time of delivery for normal use in the Netherlands.
11.2 Warranty period
The warranty is valid for a period of 6 months after delivery, unless the nature of the deliverable dictates otherwise or the parties have agreed otherwise.
11.3 Suspension of warranty
All warranties lapse if a defect arises from improper or incorrect use, incorrect storage, or modifications made without written consent.
11.4 Complaints
The Client must inspect deliverables immediately upon receipt. Visible defects must be reported in writing within fourteen days of delivery; non-visible defects within fourteen days of discovery.
12 – Miscellaneous provisions
12.1 Other terms
General or specific terms of the Client are not binding on Peter van der Steege (Holding) unless expressly accepted in writing.
12.2 Copies and backup materials
Peter van der Steege (Holding) stores a duplicate on standard storage media for 5 years. Peter van der Steege (Holding) cannot be held responsible for loss due to technical causes.
12.3 Dutch law
The Agreement is governed by Dutch law. The competent court is the court in the district where Peter van der Steege (Holding) is established.
12.4 Amendments to these terms
Peter van der Steege (Holding) reserves the right to amend these General Terms and Conditions. The Terms will be communicated to the Client once in a quote or Agreement.
